Terms of Service

These Terms of Service ("Terms") govern your use of the freight dispatch services, website, and communications provided by Clyde Dispatch Group, a DBA of Clyde Dispatch LLC ("Company," "we," "us," or "our"). By signing up for or using our services, you agree to these Terms.

1. Services

Clyde Dispatch Group provides AI-assisted freight dispatch services for owner-operators and small fleets, including:

• Load sourcing and rate negotiation on your behalf
• Broker outreach via our AI voice agent (Clyde)
• Dispatch coordination and load confirmations via SMS and email
• CRM and document management for active loads

We act as your dispatch agent. We do not take possession of freight, operate as a motor carrier, or assume carrier liability.

2. Eligibility

To use our services, you must:

• Be a licensed motor carrier or authorized representative of one
• Maintain active operating authority (MC number) and required insurance
• Be at least 18 years of age
• Provide accurate and complete information during onboarding

3. Fees and Payment

Service fees are as follows:

• Founding rate: $49/month + 4% per dispatched load (locked for life for founding members)
• Standard rate: $79/month + 4% per dispatched load
• Annual plans: Available at a discounted rate

Fees are billed monthly or annually as agreed at signup. The 4% dispatch fee is calculated on the gross load rate agreed with the broker. Payment is due upon invoice. Late payments may result in service suspension.

4. Client Responsibilities

You are responsible for:

• Maintaining valid operating authority, insurance, and compliance with all applicable regulations
• Honoring loads booked on your behalf once confirmed
• Providing accurate rate minimums and equipment availability
• Notifying us promptly of cancellations, breakdowns, or service failures
• All carrier-broker agreements entered into through our dispatch services

5. SMS Communications Consent

By providing your mobile number and using our services, you consent to receive transactional SMS messages related to dispatch operations. You may opt out at any time by replying STOP. See our Privacy Policy for details.

6. Limitation of Liability

Clyde Dispatch Group is a dispatch service only. We are not responsible for:

• Freight loss, damage, or delay
• Broker non-payment or chargebacks
• Regulatory violations by the carrier
• Losses arising from loads declined, missed, or cancelled

To the maximum extent permitted by law, our total liability to you for any claim arising out of these Terms or our services shall not exceed the fees paid by you in the three months preceding the claim.

7. Indemnification

You agree to indemnify and hold harmless Clyde Dispatch LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services, your breach of these Terms, or your violation of any applicable law or regulation.

8. Termination

Either party may terminate services with 30 days written notice. We reserve the right to suspend or terminate your account immediately for breach of these Terms, non-payment, or conduct that exposes the Company to liability. Upon termination, outstanding fees remain due.

9. Intellectual Property

All content, software, AI workflows, and materials provided by Clyde Dispatch Group are our proprietary property. You may not copy, reproduce, or distribute them without written consent.

10. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Palm Beach County, Florida.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify active clients of material changes by email.
